Scope: Applies to Metaio Lab platform, APIs, dashboard, routing layer, and related services.
Translated versions of these Terms are provided for convenience. If there is any conflict between a translation and the English version, the English version controls.

1. Acceptance of Terms
Section titled "1. Acceptance of Terms"By accessing or using Metaio Lab (“Metaio Lab,” “we,” “our,” or “us”), you agree to these Terms of Service (the “Terms”). If you use the Service on behalf of a company, team, or other entity, you represent that you have authority to bind that entity, and “you” includes that entity.
If you do not agree to these Terms, do not access or use the Service.
2. The Service
Section titled "2. The Service"Metaio Lab provides AI-related APIs, routing, model access, management features, dashboards, and related services (collectively, the “Service”). The Service may include beta, preview, or limited-access features.
We may add, remove, modify, restrict, suspend, or discontinue any part of the Service at any time, with or without notice.
3. Eligibility and Accounts
Section titled "3. Eligibility and Accounts"You must be legally capable of entering into these Terms. You are responsible for:
- keeping your account credentials and API keys confidential;
- all activity that occurs under your account;
- providing accurate, current, and complete account information; and
- promptly notifying us if you suspect unauthorized access or misuse.
4. Acceptable Use
Section titled "4. Acceptable Use"You may not use the Service to:
- violate applicable law, regulation, sanctions, or third-party rights;
- infringe intellectual property, privacy, publicity, confidentiality, or other rights;
- probe, scan, reverse engineer, interfere with, or disrupt the Service or related systems, except as permitted by applicable law;
- bypass quotas, pricing controls, usage controls, rate limits, authentication requirements, or security measures;
- upload, transmit, or distribute malware, spam, fraudulent content, or harmful automation;
- generate or distribute content that you know is unlawful or materially deceptive in a way that could cause harm; or
- support high-risk activities where errors could reasonably lead to death, personal injury, or severe environmental, financial, or property damage.
5. Customer Content and Outputs
Section titled "5. Customer Content and Outputs"You remain responsible for your prompts, instructions, inputs, files, configurations, outputs, and any other content or actions you submit through the Service (“Customer Content”).
You represent that you have all rights, consents, and permissions necessary to submit and use Customer Content. You are solely responsible for reviewing and validating outputs before using, publishing, sharing, or relying on them.
6. Third-Party Models and Services
Section titled "6. Third-Party Models and Services"The Service may route requests to or depend on third-party model providers, hosting providers, payment processors, and other infrastructure or service providers. As a result, availability, latency, pricing, features, safety filters, outputs, and content restrictions may change without notice and may depend in part on those third parties.
We are not responsible for third-party outages, refusals, policy changes, account actions, or output quality.
7. Beta Status and No Guaranteed Availability
Section titled "7. Beta Status and No Guaranteed Availability"The Service may operate in private beta, preview, or other limited-access form. The Service is provided on an “as is” and “as available” basis. We do not guarantee uninterrupted availability, uptime, response times, compatibility, or error-free operation.
8. Fees, Credits, and Refunds
Section titled "8. Fees, Credits, and Refunds"If paid plans, balances, or credits are offered, pricing and usage rules may be updated from time to time. Unless required by law or expressly stated otherwise in writing:
- fees are non-refundable;
- credits and balances have no cash value; and
- unused credits or balances are not redeemable for cash.
You are responsible for any applicable taxes, duties, or similar governmental charges associated with your use of the Service, excluding taxes based on our net income.
9. Suspension and Termination
Section titled "9. Suspension and Termination"We may suspend, restrict, or terminate your access immediately if we reasonably believe that:
- you breached these Terms;
- your use creates legal, compliance, operational, or security risk;
- you failed to pay amounts due; or
- your use could harm us, the Service, other users, or third parties.
We may also suspend the Service if necessary to prevent abuse, respond to legal process, or protect platform integrity.
10. Intellectual Property
Section titled "10. Intellectual Property"As between you and Metaio Lab, you retain rights in your Customer Content, subject to any rights needed to operate the Service. We and our licensors retain all rights, title, and interest in the Service, software, documentation, branding, interfaces, and related materials, except for rights expressly granted to you.
No rights are granted by implication, estoppel, or otherwise.
11. Disclaimer of Warranties
Section titled "11. Disclaimer of Warranties"To the maximum extent permitted by law, the Service is provided without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing, usage, or trade practice.
12. Limitation of Liability
Section titled "12. Limitation of Liability"To the maximum extent permitted by law, Metaio Lab and its affiliates, operators, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or business opportunities arising out of or related to the Service, even if advised of the possibility of those damages.
To the maximum extent permitted by law, our total aggregate liability for all claims arising out of or related to the Service will not exceed the greater of:
- the amount you paid us for the Service in the 3 months preceding the event giving rise to the claim; or
- USD $50.
13. Indemnification
Section titled "13. Indemnification"You agree to defend, indemnify, and hold harmless Metaio Lab and its affiliates, operators, licensors, and service providers from and against claims, damages, liabilities, losses, judgments, awards, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- your use of the Service;
- your Customer Content; or
- your violation of these Terms or applicable law.
14. Changes to These Terms
Section titled "14. Changes to These Terms"We may update these Terms from time to time. When changes become effective, your continued access to or use of the Service constitutes acceptance of the revised Terms.
15. Governing Law
Section titled "15. Governing Law"These Terms are governed by the laws specified in your applicable order form or service notice, if any. If no separate written terms specify a governing law, these Terms are governed by the laws of the United States, without regard to conflict of laws principles, except to the extent mandatory local law requires otherwise.
